Terms of Service

1. Acceptance of Terms

By accessing or using XT Systems services, including AGiXT-powered applications, you agree to be bound by these Terms of Service. If you do not agree, you may not use the services.

2. Description of Services

XT Systems provides AI-powered automation, orchestration, collaboration, remote management, extension marketplace, billing, and connected service tooling. Features may include AI agents, third-party integrations, team chat, machine control, files, schedules, token usage, and extension hubs.

3. AI Services Disclaimer and User Responsibility

• You accept responsibility for outcomes from AI agent actions, including intended and unintended actions.
• You should not instruct AI agents to perform destructive, irreversible, or critical operations without appropriate safeguards, backups, and human oversight.
• AI outputs may be inaccurate, incomplete, or unexpected.

4. Third-Party Integrations

When you enable extensions or connect third-party systems, you assume responsibility for permissions, access controls, activity audits, backups, costs, and actions performed within those connected services.

5. Blockchain Wallet and Cryptocurrency

Optional blockchain wallet features may rely on self-custody wallets. You are responsible for private keys, seed phrases, transaction review, and legal compliance. Blockchain transactions are irreversible and cryptocurrency values are volatile.

6. Account Registration

You agree to provide accurate information, maintain credential security, promptly update account information, and accept responsibility for activity under your account.

7. Acceptable Use

• Do not violate laws or regulations.
• Do not infringe intellectual property rights.
• Do not transmit harmful, offensive, or illegal content.
• Do not attempt unauthorized access or interfere with service operation.
• Do not circumvent usage limits, billing, security controls, or marketplace entitlement controls.

8. Payment, Billing, and Refund Policy

Token purchases, one-time top-ups, and subscriptions are final and non-refundable. Unused tokens do not expire but are non-refundable and non-transferable. You may cancel recurring subscriptions at any time, but refunds will not be issued for the current billing period or prior purchases.

9. Data Retention, Backup, and User Responsibility

Agent workspaces may be purged after 30 days of inactivity or sooner when operationally necessary. You are responsible for exporting and backing up important data. We do not guarantee preservation of conversations, configurations, chains, prompts, uploaded files, or other stored content.

10. Intellectual Property and Privacy

The services and platform content are owned by XT Systems or licensors. You retain ownership of content you submit, while granting us a license to process it to provide the services. Your use is also governed by our Privacy Policy.

11. Disclaimers and Limitation of Liability

The services are provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, XT Systems is not liable for indirect, incidental, special, consequential, punitive, data loss, third-party system, AI action, blockchain, or cryptocurrency damages. Total liability will not exceed the amount you paid for services in the twelve months preceding the claim.

12. Indemnification and Termination

You agree to indemnify and hold harmless XT Systems from claims arising from your use, your content, your violation of these terms, actions taken by AI agents on your behalf, or your use of integrations. We may suspend or terminate access at any time, including for violations of these terms.

13. Modifications, Governing Law, and Entire Agreement

We may modify these terms and will update the last updated date. These terms are governed by Delaware law, with disputes resolved through binding arbitration where permitted. These terms, together with our Privacy Policy and referenced policies, form the entire agreement regarding the services.
